These Terms of Service (“Terms”) govern access to and use of Merchant Statement Scanner (the “Service”) at merchantstatementscanner.com, operated by CMS Max (Evolution Marketing) (“Company,” “we,” “us”). By creating an account, subscribing, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
Merchant Statement Scanner provides tools to upload merchant processing statements, extract fees and rates (using rules-based parsing and, where enabled, AI assistance), store clients, and review effective rate and related analytics. Features may change as we improve the product. We may offer free or paid plans; paid access currently includes paid plans published on the pricing page: Individual at $2.00 USD per month (one user seat) and Ultimate at $5.00 USD per month (up to 25 user seats). Enterprise pricing is available by quote.
The Service is a software analysis aid. It is not a bank, payment processor, law firm, accounting firm, or registered investment adviser. Outputs are estimates and structured extracts based on the documents and data you provide; they may be incomplete or incorrect.
You must be at least 18 years old and able to form a binding contract. You agree to provide accurate registration information and keep your password secure. You are responsible for activity under your account. Notify us promptly via the contact form if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms or pose security risk.
Paid features require an active subscription processed through Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel. Taxes may apply where required. You can manage or cancel through the in-app billing portal when Stripe is configured. Cancellation stops future renewals; fees already charged are generally non-refundable except where required by law or where we expressly offer a refund.
We may change pricing with reasonable notice for subsequent billing periods. If payment fails, we may limit access to paid features until billing is restored.
You retain ownership of statements, client lists, notes, and other content you upload (“Customer Content”). You grant us a limited license to host, process, transmit, and display Customer Content solely to operate and improve the Service (including AI-assisted extraction when enabled).
You represent that you have all rights and lawful bases needed to upload and process Customer Content — including merchant statements that may contain personal or financial information of third parties — and that your use complies with applicable privacy, banking, and payment-industry rules. Do not upload data you are not authorized to handle.

Portions of the Service may use artificial intelligence and automated parsing. Results can misread line items, miss fees, or misclassify rates. Always verify critical numbers against the original statement before negotiating with processors, quoting merchants, or making financial decisions. We do not guarantee accuracy, completeness, or fitness for a particular purpose of any extraction or “Quality Score” or similar signal.
The Service, branding, software, documentation, and marketing content are owned by CMS Max or its licensors. Except for the limited rights to use the Service under these Terms, no IP rights are transferred to you. Feedback you provide may be used by us without obligation to you.
The Service integrates or depends on third parties (including hosting, database, payments, email, and AI providers). Their terms and privacy practices apply to their processing. We are not responsible for outages or acts of third parties outside our reasonable control.
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that statement extractions will match any particular processor format or interchange schedule.
To the maximum extent permitted by law, CMS Max and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the claim or (b) fifty US dollars (USD $50). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
You will defend and indemnify CMS Max against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your misuse of the Service, or your violation of these Terms or applicable law.
You may stop using the Service at any time and cancel your subscription through the billing tools when available. We may suspend or terminate access for violation of these Terms, non-payment, or risk to the Service or other users. Upon termination, your right to use the Service ends; provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive.
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules, unless mandatory consumer protections in your jurisdiction require otherwise. Courts located in Florida will have exclusive jurisdiction over disputes, except that we may seek injunctive relief in any venue for IP or security threats.
We may update these Terms by posting a revised version on this page with a new “Last updated” date. If changes are material, we will provide additional notice when reasonable (for example, email or in-app notice). Continued use after the effective date constitutes acceptance of the updated Terms.
